Welcome to Lista AI. These Terms of Service (the “Terms”) govern your access to and use of the Lista AI website, applications, and related services (collectively, the “Service”). Lista AI is a trade name of Booyah Digital Services, a business duly registered in the Republic of the Philippines (“Company,” “we,” “us,” or “our”). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
By accessing or using the Service, you represent that you are at least eighteen (18) years of age, have the legal capacity to enter into a binding agreement under Philippine law, and will use the Service in compliance with these Terms and all applicable laws and regulations of the Republic of the Philippines. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Accounts are created and authenticated through our identity provider, Clerk. You agree to provide accurate, current, and complete information during registration and to keep your credentials secure. You are solely responsible for all activity that occurs under your account. You must promptly notify us of any unauthorized use or suspected security breach. We reserve the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.
Lista AI offers the following subscription tiers: Free, Saver, Pro, and Business. Paid plans are available on monthly or annual billing cycles. All fees are denominated in Philippine Peso (PHP) unless otherwise stated and are inclusive or exclusive of Value-Added Tax (VAT) as indicated at the point of purchase. Payments are processed by our third-party payment processor, PayMongo. By subscribing, you authorize us and PayMongo to charge your selected payment method on a recurring basis until you cancel. Subscription prices may change upon reasonable prior notice; any change will take effect on your next renewal.
The Service uses a token-based credit system to meter AI-generated output. One (1) token is consumed per generated product listing. Photo enhancement features consume three (3) to five (5) tokens per enhanced image, depending on complexity. Token allowances included in a subscription plan reset at the start of each billing period and do not roll over. Additional tokens may be purchased separately as token bundles.
Token bundles purchased as one-time add-ons do not expire and remain available in your account for as long as the account is active. Token bundles are non-refundable once purchased. Tokens have no cash value, cannot be exchanged for money, and cannot be transferred to another account.
You may cancel your subscription at any time from your account settings. Upon cancellation, your current plan will remain active through the end of the then-current billing period, after which it will not renew. We do not provide refunds, prorated or otherwise, for partial billing periods, unused token allowances, or downgrades that take effect before the end of a billing cycle. This no-refund policy applies to monthly and annual subscriptions alike, except where a refund is required by applicable Philippine consumer protection law.
You agree not to use the Service to generate, distribute, or list content that is unlawful, fraudulent, deceptive, defamatory, obscene, or otherwise objectionable. Without limiting the foregoing, you will not use the Service to: (a) create listings for counterfeit, pirated, stolen, or illegal goods; (b) generate spam, bulk unsolicited messages, or deceptive search engine optimization content; (c) infringe any intellectual property, privacy, or publicity rights; (d) generate content that harasses, threatens, or incites harm against any person or group; or (e) attempt to reverse-engineer, scrape, or circumvent the Service or its rate limits. We may suspend or terminate access for any violation of this section.
The Service uses artificial intelligence, including large language and vision models provided by Google (Gemini), to produce listing copy, product descriptions, and enhanced images. AI-generated output may contain inaccuracies, omissions, or content that does not comply with the policies of marketplaces such as Shopee, Lazada, TikTok Shop, or other platforms. You are solely responsible for reviewing, editing, and verifying all AI-generated content before publishing it to any marketplace or using it in commerce. We make no warranty that generated content will be accurate, complete, free of errors, or approved by any third-party platform.
As between you and Lista AI, you retain ownership of the product information, images, brand assets, and other materials you submit to the Service (“User Content”), and you own the AI-generated listings produced from your inputs, subject to the terms of our underlying AI providers. You grant us a limited, worldwide, royalty-free license to host, process, transmit, and display User Content solely to operate and improve the Service. The Service itself, including all software, interfaces, trademarks, logos, and documentation, is owned by Lista AI and its licensors and is protected by Philippine and international intellectual property laws. No rights are granted to you other than the limited license to use the Service as expressly set out in these Terms.
We may suspend or terminate your access to the Service at any time, with or without notice, for any breach of these Terms, for suspected fraudulent or unlawful activity, for non-payment, or if we discontinue the Service. You may terminate your account at any time by cancelling your subscription and requesting account deletion. Upon termination, your right to use the Service ceases immediately, and we may delete your account data subject to our data retention policy and applicable law. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by Philippine law, Lista AI and Booyah Digital Services shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and notify you by email or through the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts of Metro Manila, Philippines, without prejudice to any right we may have to seek injunctive or equitable relief in any other jurisdiction.
